Uh, and, uh, and then also we looked at, okay, how can we make this deal work with that, you know, uh, considerably higher risk, obviously, um, that it represents, while, uh, at the same time also understanding the economic opportunities that come with it, because as you can imagine, there are basically no PPAs available at the moment, so it's all spot market transactions, and the spot price for energy, given the circumstances, are actually quite high.

Sylvia WisniewskiGUEST
So, um, what we then actually did is, um, we then said, "Okay, uh, let's draw in the common equity." So, uh, while Goldbeck Solar still is the majority equity provider, we are basically pretty close to it, so it's more or less like a split, um, common equity deal.

And we added a preferential shareholder loan on top of it, which basically means that all the cash that comes in first goes to, um, the preferential shareholder loan.

Sylvia WisniewskiGUEST
Um, and on top of that, we established actually quite a high watermark, uh, so quite a high hurdle, you know, for this pref shareholder loan, uh, while at the same time we also wanted to be fair to the sponsor, you know, of, uh, let's say, the project, and therefore actually, you know, beyond the watermark, uh, actually we share, uh, also the, uh, additional economic, uh, value actually with, uh, with the sponsor, with, uh, with Goldbeck.

Sylvia WisniewskiGUEST
I think the other, let's say, interesting element in this was, um, how do we, uh, you know, get some further risk protection around this deal? We certainly looked at war insurance, which was very, very complicated to obtain and still is, I must say.

Sylvia WisniewskiGUEST
We could secure project level insurance, uh, from a commercial player, um, but not really a full war insurance protection for the entire investment.
