And so in any purchase agreement, if you take the middle third, there's going to be 15 to 25 pages of these factual statements.

And they're doing this because they're saying, look, we think we know what your company looks like.

If it turns out that your company doesn't really look like that, then we've probably paid you too much.

So we're going to ask you to confirm all of these statements about your company and And then through what is called the indemnity provision, if one or two or three proves to be inaccurate, we're going to have the right to come back and get some money from you based on how inaccurate it happens.

That's what they're trying to accomplish is to make sure that the picture you're painting about your business is an accurate representation of that.
